Markus Ebert joins VF&N as Of Counsel after 20 years’ experience as a senior business executive and in-house legal counsel focused on corporate development, investment management, and strategic advice. Markus provides capital advisory services for investors and equity funds.

Markus’ background includes a wide range of industries such as aerospace, energy, infrastructure development and healthcare in multiple international jurisdictions. He has lived and worked in several countries around the globe including Canada, Germany, England, Kuwait & UAE. In addition to his LL.B (J.D.) degree, Markus also has an L.L.M. ( Master of Laws) in International Banking and Finance.

Commercial and Structured Financing
    • Several syndicated secured credit facilities to real estate opportunity funds and other investment entities, secured by the capital commitments of fund investors for redevelopment, construction and/or acquisition of real estate assets of $600 Million
    • Acquisition of significant ownership interest in BaySys by private equity fund to expand operations into Morocco and UAE
    • $150 million Loan facility to private Iraqi banks and medium-sized businesses in Iraq to finance reconstruction
    • Multicurrency revolving credit facility real estate redevelopment projects in Mexico, Hong Kong and Singapore for Bank of America
    • Acquisition of several aircraft from German airline LTU and subsequent acquisition of large ownership interest in LTU
    • $2.5 billion private offering of asset-backed notes backed by retail automobile loan receivables
    • $800 million syndicated secured credit facility to real estate opportunity fund in Asia
    • $36 billion syndicated secured credit facility to real estate opportunity fund in Japan
    • $545 million warehouse credit facility to a financial institution to provide downstream loans
    • First ever securitization of Portuguese consumer loans (voted one of the top European securitization transactions of the year by IFLR)
Mergers and Acquisitions
    • $20 Million merger and acquisition of BaySys International and Tempus Jets to establish full-service aviation maintenance and government contract aviation service provider
    • Acquisition and redevelopment of 800,000 sq.ft. of aircraft hangar, housing, and commercial facilities for the establishment of an MRO in New England
    • $980 million USD multi-bank acquisition finance transaction in the European airline industry
    • Acquisition of a heavy haul trucking company to provide operational and logistics support to aviation operations
    • Acquisition of the distribution rights for GCC of a Spanish potato chip manufacturer
    • Acquisition of a multi-service healthcare company including 250-bed hospital and healthcare and dental clinics
    • Acquisition of all Oriflame global assets in 22 jurisdictions to take a public company private
    • Acquisition of remaining CNCP telecommunications assets by Rogers Communications
PPP Transactions
    • Development of a new 1,200 bed hospital in Kuwait
    • Toll road construction and concession for the Warnow Tunnel in Rostock, Germany
    • EPC and finance agreements for $420 million airport development project in Southern Iraq & $1.35 billion development of hotel, hospital, shopping center, housing, offices, and convention center built around new airport
    • Investment and redevelopment project of Greenwich Hospital in London, England
    • Land acquisition of 2,000 acres of land for greenfield airport development project via long-term land lease
    • Acquisition of fleet of helicopters to be used for aerial support at the Al Khafji Joint Operations oil production and refinery in Kuwait and Saudi Arabia
Project Financing
    • $200 Million project financing of the Great Yarmouth power plant in England
    • $100 Million project financing for VIP aircraft interior completion of Boeing 777 for Head of State in Africa & $90 million in project financing for VIP aircraft interior completion of Airbus A340 for Head of State in the Middle East
    • Acquisition and lease of oil rigs for the development and drilling of 120 new oil wells in Basra, Iraq
    • Drafted and negotiated EPC and finance agreements for $160 Million project financing of the Ras Abu Fontas power plant expansion in Qatar
    • Negotiated and drafted EPC and finance agreements for $3.2 billion Brazilian oil and gas industry limited recourse project financing for offshore drilling and production facilities (Latin America Project of the Year and Oil and Gas Sector Deal of the Year by Privatisation International)
Arbitration and Litigation
    • Filed mechanics lien on Boeing 777 in connection with payment defaults by client and led settlement negotiations
    • Represented company before the National Labor Relations Board in connection with precedent-setting labor relations case prohibiting punitive actions against employees using social media to disparage company or CEO
    • Special outside arbitration counsel in an unprecedented state-to-state investment arbitration proceeding against the Government of India caused by the expropriation of the Dabhol power plant, which led to a settlement whereby India paid the client, OPIC (Overseas Private Investment Corporation) 100 percent of its claims and resulted in quarterly high-level talks
